Terms of Service

Plain-English summary: Use the Services fairly, pay your bill, don't abuse our tools against third-party sites, and we'll keep delivering. These terms are written to be readable, not to trap you.

1. Acceptance of Terms

By creating an account, accessing, or using any product or service provided by Radar Commerce ("we," "us," or "our"), including Radar Monitor and Radar Preflight (collectively, the "Services"), you ("Customer," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" refers to that entity.

If you do not agree to these Terms, do not use the Services.

2. Description of Services

Radar Commerce operates multiple products for digital agencies:

  • Radar Monitor is a Shopify store monitoring platform that periodically checks storefronts for uptime, checkout availability, performance degradation, SSL certificate status, and structural changes. It sends alerts when issues are detected and provides a dashboard for managing monitored stores.
  • Radar Preflight is a client asset collection platform that enables agencies to create structured upload portals, define file requirements, and collect validated assets from clients without email back-and-forth.

Features vary by product and plan. We reserve the right to add, modify, or remove features at any time, subject to the notice requirements in Section 15.

3. Accounts and Registration

To use the Service, you must create an account with a valid email address. You agree to:

  • Provide accurate, complete, and current registration information.
  • Maintain the security of your password and notify us immediately at contact us of any unauthorized access or suspected breach.
  • Be responsible for all activity that occurs under your account, whether or not authorized by you.
  • Not share account credentials with individuals outside your organization without upgrading to an appropriate plan that supports multiple users.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. Plans, Billing, and Payment

Radar Preflight plans

Radar Preflight is currently in early access and free for all users. Paid plans will be announced with at least 14 days' notice via email before taking effect. Early access users will receive advance notice of pricing before any charges apply.

Billing terms

  • Paid plans are billed monthly in advance. The billing cycle begins on the date you upgrade.
  • All prices are in USD. Applicable taxes may be added depending on your jurisdiction.
  • Payments are processed by Stripe. By providing payment information, you authorize us to charge your payment method on each renewal date.
  • If a payment fails, we will attempt to retry for up to 7 days before downgrading your account to the Free plan.

Upgrades and downgrades

You may upgrade your plan at any time. The price difference will be prorated for the remainder of the current billing period. Downgrades take effect at the end of the current billing period. If you downgrade, stores exceeding the new plan's limit will be paused (not deleted) until you either upgrade again or remove excess stores.

Refunds

We offer a full refund within 7 days of your first paid charge if you are not satisfied. After 7 days, payments are non-refundable except where required by law. To request a refund, email contact us with your account email and reason.

Price changes

We reserve the right to change plan prices. We will give you at least 30 days' notice by email before any price increase takes effect for your existing plan.

5. Beta Program

During the initial beta period, the Service is provided free of charge to all users. The beta period ends when we announce the transition to paid plans, which we will communicate at least 14 days in advance via email.

Beta disclaimer: Services provided during a beta period are provided "as-is" without any uptime guarantees. Features may change, data may be reset, and the Service may be interrupted without notice. For Radar Monitor specifically, please do not rely solely on it as your only form of store monitoring during the beta period.

Beta users who remain on the platform when paid plans launch will receive a special introductory rate communicated via email, subject to the terms announced at that time.

6. Acceptable Use

You agree not to use the Service to:

  • Monitor stores you do not own or have explicit authorization to monitor (see Section 7).
  • Conduct denial-of-service attacks, load testing, or stress testing against any store or server.
  • Scrape, harvest, or systematically collect content from third-party stores beyond what is necessary for monitoring.
  • Attempt to bypass security measures on any website or system.
  • Violate any applicable law, regulation, or third-party rights, including any platform terms of service relevant to the stores or services you are monitoring or managing.
  • Resell or sublicense access to the Service without our express written permission.
  • Reverse engineer, decompile, or disassemble any portion of the Service.
  • Introduce malware, viruses, or other harmful code into the Service.
  • Use the Service in a way that places unreasonable load on our infrastructure.

Violation of these rules may result in immediate account suspension without refund.

7. Monitoring and Third-Party Stores (Radar Monitor)

This section applies specifically to Radar Monitor. The Service works by periodically making automated HTTP requests to the Shopify storefronts you configure. Our monitoring bot identifies itself with the user agent RadarMonitor/1.0 in all requests.

Your responsibility to authorize monitoring

By adding a store to the Service, you represent and warrant that:

  • You are the owner of the store, or you have obtained explicit written authorization from the store owner to monitor it on their behalf.
  • Your use of the Service for that store does not violate any applicable law or the store owner's terms of service with Shopify or any other platform.
  • If you are an agency, you have appropriate authority in your client agreement to use automated monitoring tools.

We are not responsible for any claims arising from your monitoring of stores you are not authorized to monitor.

Monitoring limitations

The Service accesses only publicly accessible endpoints. We do not guarantee that monitoring will accurately reflect all possible failure scenarios. Revenue impact estimates, where shown, are approximations only and do not constitute financial advice.

8. Shopify OAuth and Store Access (Radar Monitor)

This section applies specifically to Radar Monitor. Certain features on Pro and Agency plans require connecting a Shopify store via OAuth. If you choose to connect a store via OAuth:

  • You authorize us to access your store's Shopify admin data within the scopes you approve during the OAuth flow.
  • We request only the minimum scopes necessary to deliver the features you have enabled.
  • You may revoke access at any time by removing the Radar Monitor app from your Shopify admin. Revoking access disables OAuth-dependent features but does not delete your account or public monitoring data.
  • You remain responsible for complying with Shopify's Partner Agreement and API Terms of Service in connection with your use of the Service.
  • We will handle all data accessed via OAuth in accordance with our Privacy Policy and Shopify's requirements for app partners.

9. Intellectual Property

Our IP

The Service, including its software, design, algorithms, and all associated intellectual property, is owned by Radar Commerce and protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it as described herein.

Your data

You retain all ownership rights to the data you provide to the Service. You grant us a limited, non-exclusive license to process your data solely to provide and improve the Service.

Feedback

If you submit suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without restriction or compensation to you.

10. Confidentiality

Each party may receive confidential information from the other in connection with the Service ("Confidential Information"). Each party agrees to:

  • Keep the other party's Confidential Information confidential using at least the same degree of care it uses for its own confidential information (no less than reasonable care).
  • Use Confidential Information only to exercise rights and fulfill obligations under these Terms.
  • Not disclose Confidential Information to third parties except to employees, contractors, and service providers who need to know it and are bound by equivalent confidentiality obligations.

Confidential Information does not include information that: (a) is or becomes publicly known without breach of these Terms; (b) was already known to the receiving party without restriction; (c) is independently developed without use of the Confidential Information; or (d) must be disclosed by law, provided the disclosing party gives reasonable prior notice.

11. Disclaimers and Limitation of Liability

No warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RADAR COMMERCE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF INFORMATION. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL RADAR COMMERCE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE 3 MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) $100 USD.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

The Services are tools, not guarantees

Radar Commerce products are tools to help you detect issues faster and manage workflows more efficiently — they are not guarantees of complete coverage or error-free operation. We are not liable for revenue losses or damages arising from issues not detected or not detected promptly by any of our Services.

12. Indemnification

You agree to indemnify, defend, and hold harmless Radar Commerce and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Service in violation of these Terms.
  • Your monitoring of stores you were not authorized to monitor.
  • Your violation of any applicable law or third-party rights.
  • Any data or content you submit to the Service.

13. Termination

Termination by you

You may cancel your account at any time from your account settings or by emailing contact us. Cancellation takes effect at the end of your current billing period for paid plans.

Termination by us

We may suspend or terminate your account immediately if you materially breach these Terms, if required by law, or if your account is involved in fraud or abuse. We may also terminate the Service entirely with 30 days' notice to all users.

Effect of termination

Upon termination, your right to use the Service ceases immediately. We will delete your account data within 30 days of termination, subject to legal retention requirements. Sections 9, 10, 11, 12, and 16 survive termination.

14. Service Level and Uptime

We target 99.5% monthly uptime for the dashboard and monitoring infrastructure on paid plans, excluding scheduled maintenance, outages beyond our reasonable control, and issues caused by your actions or third-party services.

We do not offer SLA credits at this time. If you experience significant disruption, contact us at contact us and we will review your situation.

Force majeure

Neither party will be liable for delays or failures resulting from causes beyond their reasonable control, including natural disasters, war, government actions, AWS or internet infrastructure outages, or third-party platform outages.

15. Changes to the Service or Terms

Changes to the Terms

For material changes, we will email you at least 14 days before the new Terms take effect. Your continued use of the Service after the effective date constitutes acceptance.

Changes to the Service

For changes that materially reduce the core functionality of your current paid plan, we will provide at least 30 days' notice and offer a prorated refund if you choose to cancel as a result.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Informal resolution first

Before filing any legal claim, contact us at contact us and give us 30 days to resolve the dispute informally.

Binding arbitration

If informal resolution fails, disputes will be resolved by binding individual arbitration under the rules of the American Arbitration Association (AAA). You waive any right to participate in a class action lawsuit or class-wide arbitration.

Customers outside the United States

If you are located in the European Union or United Kingdom, mandatory consumer protection laws in your jurisdiction may provide you with rights that cannot be waived by contract. Nothing in these Terms limits any rights you may have under those laws.
